Consignment Agreement
Nearme Yoga LLC

This Consignment Agreement ("Agreement") is entered into by Nearme Yoga LLC ("Consignee") and the undersigned Consignor ("Seller") effective as of the date of consignment.

1. Purpose
The Consignor agrees to provide products ("Products") to be sold on consignment at the Consignee’s location at 700 Main Street, Moosic, PA 18507.

2. Consignment Term
The consignment period will begin upon delivery of the Products and last for an initial term of 90 days. If the Products remain unsold after 90 days, rental fees as outlined in Section 5 will apply.

3. Product Delivery & Display

• The Consignor will deliver Products to the Consignee's location at the address above.

• The Consignee will display and market the Products at its discretion.

• The Consignor guarantees the Products are in saleable condition and agrees to replace or remove any defective or damaged items upon request.

4. Compensation & Payment

• Sale Price: The Consignor and Consignee will mutually agree upon the retail price for each Product.

• Payment: The Consignee will remit 70% of the sale price to the Consignor and retain 30% for each sale.

• Payments will be made [weekly/monthly] based on actual sales.

5. Rental Fee (After 90 Days)
If Products remain unsold after 90 days, the Consignor will pay the Consignee a monthly rental fee for the space occupied.

• Rental Fee: The fee will be determined based on the space the Products occupy, within the following range:

  • Minimum: $15.00 per month

  • Maximum: $100.00 per month

6. Product Care & Liability
The Consignee agrees to handle the Products with reasonable care but is not liable for loss, theft, or damage, except where caused by the Consignee’s negligence or intentional misconduct. The Consignee will notify the Consignor of any significant damage or loss.

7. Termination
Either party may terminate this Agreement by providing written notice of termination with [30 days’] notice.​​

8. Dispute Resolution
Any disputes arising from this Agreement will be resolved through [mediation/arbitration].

9. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the state of Pennsylvania.

By consigning Products with Nearme Yoga LLC, the Consignor acknowledges and agrees to the terms and conditions outlined above.
